regsvr32 /u /s MSINET.OCX (with administrtor privelidges)/u is the uninstall parameter
from 'Run" box
This helped me on Win7 x64.
Trying to register the newly downloaded msinet.ocx did NOT work, placing it in \Windows\System32 and/or \Windows\SysWOW64 didn't either. Uninstalling did the trick. -

none of these fixes worked for me. win7 64.

One from my friends solve this issue with re-downloading mod and installing him fresh. But in your case it can be problem with your windows installation. This thread is little old without similar issue reported for longer time. I have win 7 64 bit installed on two PCs and both run CF without probs.
